This Service Schedule (“Schedule A”) supplements the Master Services Agreement (“MSA”) between Vest Technical Solutions Inc. (“VTS”) and the Client.
This Schedule applies only to Managed Services expressly included in an accepted Quote that references this Schedule.
1. Purpose and Scope
The purpose of this Schedule is to define the scope, boundaries, and conditions of Managed Services provided by VTS.
Managed Services are ongoing operational services designed to maintain supported systems in a functional, secure, and supportable state.
This Schedule:

Defines what is included
-
Defines what is explicitly excluded
-
Establishes service boundaries
-
Prevents unintended expansion of responsibility
2. Definition of Managed Services
“Managed Services” refers to recurring services provided by VTS that may include, only if explicitly listed in the applicable Quote:

Endpoint and server monitoring
-
Remote technical support
-
On‑site technical support (if included)
-
Proactive maintenance and remediation
-
Patch management
-
Identity and access support (e.g., Microsoft 365 / Google Workspace)
-
Backup monitoring and alert response (not restore guarantees)
-
Security tool monitoring and alert handling (not breach prevention)
-
Account management and reporting
Specific services, quantities, and pricing are defined exclusively in the accepted Quote.
3. Service Hours
Unless otherwise stated in writing:

Remote Support: Monday–Friday, 9:00 AM–5:00 PM EST

On‑Site Support: Monday–Friday, 8:00 AM–5:00 PM local time
Support requested or required outside these hours:
-
Is not included
-
May be provided at after‑hours rates if approved in advance
4. Service Limitations and Exclusions
Managed Services do not include, unless explicitly stated in the applicable Quote or another Service Schedule:

Major infrastructure projects
-
Fixed‑scope or fixed‑price projects
-
Custom software development
-
Hardware procurement or installation
-
Network redesign or architecture changes
-
Compliance guarantees (e.g., HIPAA, PCI, SOC 2)
-
Guaranteed security outcomes or breach prevention
-
Legal, regulatory, or risk advisory services
Work outside the scope of this Schedule requires:

A separate Quote, and
-
Service Schedule D – Project Services and an applicable Statement of Work (SOW)
5. Client Responsibilities
The Client agrees to:

Provide timely access to systems, credentials, and personnel
-
Maintain supported hardware and software
-
Maintain valid licenses and subscriptions
-
Follow documented onboarding and support processes
-
Notify VTS of material environment changes
Failure to meet these responsibilities may:
-
Delay service delivery
-
Limit supportability
-
Require additional billable work
6. Security and Risk Disclaimer
Managed Services:

Reduce operational and security risk
-
Do not eliminate risk
VTS does not guarantee:
-
Absolute security
-
Prevention of breaches
-
Prevention of data loss
-
Compliance certification
Security outcomes depend on:
-
Client cooperation
-
Third‑party vendors
-
Threat landscape
-
Client risk tolerance
7. Monitoring and Alerts
Where monitoring tools are included:

VTS will respond to alerts during service hours
-
Alert response does not guarantee resolution
-
Monitoring does not replace redundancy, backup, or disaster recovery planning
8. Changes to Environment or Scope
Any material change to:

User count
-
Device count
-
Locations
-
Infrastructure
-
Service requirements
may require:
-
Quote revision
-
Contract amendment
-
Service tier adjustment
9. Relationship to Other Agreements
This Schedule:

Supplements the MSA
-
Does not replace the MSA
-
Is subordinate only to an explicitly conflicting Statement of Work (SOW) for defined services
In the event of conflict:

10. Term and Termination
This Schedule:

Is effective for the term specified in the accepted Quote
-
Terminates upon termination of the applicable Managed Services agreement
Termination does not waive outstanding payment obligations.
11. Acceptance
This Schedule is incorporated by reference into the applicable Quote and becomes effective upon Client acceptance of that Quote.
